Trusted Supplier Directory – Terms and Conditions

If you are using the CTA Trusted Supplier Directory (the “Directory”) then you are bound by these terms. They apply in addition to the CTA Terms & Conditions, Privacy Policy and other polices and terms published on the CTA Website. These terms should be read before using the Trusted Supplier Directory.

As CTA Trusted Suppliers, or suppliers, you also agree to be bound by the Additional Terms at Clause 8. below.

These terms form our agreement with you, the user.

  1. Submitting a review
    1. When submitting your review and/or recommendation you understand that we will process your information in order to check and maintain a record of your review. This may include initiating contact with you using any details you have submitted in order to discuss or moderate your review. We may also ask you to provide additional evidence to support your review. Any personal data will be processed in accordance with our Privacy Policy.
    2. We may alter or remove any content you provide at any time at our sole discretion, and we have no obligation to review the information you provide. We may also move or close any reviews, comments or posts for any reason and without notice.
  2. Use of the Directory and submission of reviews/recommendations
    1. You must not use the Directory in any way that would be unlawful, or likely to encourage unlawful behaviour; likely to damage the reputation of the CTA; likely to be a nuisance, harmful or deceptive to any other person.
    2. If you intend to use a supplier, please take the time to check that supplier is right for your circumstances because if you use that supplier, you will do so at your own risk. We will not be a party to the contract between you and that supplier, and will not be responsible for any loss you may suffer as a result.
    3. You should ensure the reviews and recommendations you provide are honest and truthful and expressed as opinions where that is appropriate. If you are reviewing any supplier, you must not have a personal or professional connection with that supplier. You must behave responsibly when posting reviews to the Directory or adding any other content to our Directory (such as comments on any of our discussion forums, if available). You agree that:
    4. Any reviews or other content you add to the Directory must be factually accurate and/or be your genuinely held opinion based on facts; not be defamatory, obscene or offensive; not infringe the copyright, trademarks or any other intellectual property rights of another person;
    5. In reviewing any supplier on the Directory, you will not seek to promote your own or your employer’s business, seek to recruit new staff, or otherwise include any advertising or promotional material;
    6. You will not try to access any confidential information (including usernames and passwords) of any other person, or try to collect, store or otherwise use any personal data of other contributors to the Directory
    7. You will not pretend to be someone else (e.g. a member when in fact you are a supplier, another user or an employee of the CTA).
    8. You must not pretend that you are unconnected to a supplier or a member, when in fact you are. If you have a personal connection to a supplier or a member, you should disclose your connection or, where appropriate, not comment at all.
    9. Please do not include any web links within your reviews or other content unless you have our prior permission to do so. If you want to ask for permission, please email [email protected].
    10. If you wish to complain or if you think someone is misusing the Directory, please tell us as soon as you can by emailing [email protected]. We will try to provide the Directory so that it is available to you at all times. However, we do not provide any guarantees about its availability or that we will be able to resolve quickly any technical issues that may arise.
  3. Submitting uploaded photos, brochures and other documents (‘upload(s)’)
    1. In submitting an upload, you are granting the CTA a non-exclusive, perpetual, royalty free licence to reproduce, edit, modify, adapt and publish the upload(s) as we see fit. As the owner of the copyright, you will retain the copyright in your upload(s) and can continue to use them as you wish.
    2. Upload(s) submitted should be your own and original and comply with the CTA user generated content terms.
    3. By submitting upload(s) to us, you accept all of the CTA terms and conditions.
  4. Miscellaneous terms and provisions
    1. You grant us a non-exclusive licence to use the reviews and any other content you add to our Directory. For example, we may use this information in the CTA newsletter, marketing materials for the CTA Trusted Supplier Directory, or where we enable access to CTA Trusted Supplier reviews otherwise than through our Directory e.g. to CTA members over the phone. While we will usually display your name or username when using your content in this way, you agree that we have no obligation to do so.
    2. Please ensure any content you print, copy or download from our Directory is for your commercial purposes connected with the use of suppliers in business premises.
    3. You take full responsibility for the reviews you post on the Directory and for any other content you submit to the Directory (such as comments on any discussion forums or review threads) which means, for example, that if you provide a review in breach of these terms, you may be required to compensate anyone who suffers as a result (e.g. to a supplier as a result of a false review).
    4. Save where it is expressly stated, none of the reviews provided on the Directory represent the views of the CTA. The CTA Trusted Supplier pages contain the views of members of businesses and their representatives using the Directory, the CTA members, and suppliers. These views are not the views of the CTA. Accordingly, we cannot guarantee the accuracy of the information on the Directory.
  5. EXCLUSION OF LIABILITY
    1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXCLUDE LIABILITY (ON OUR OWN BEHALF AND ON BEHALF OF OUR SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES OR REPRESENTATIVES) FOR ANY:
    2. (I) INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES; OR (II) ANY LOST REVENUE OR ANTICIPATED SAVINGS, CONTRACTS, LOST DATA, REPUTATION OR ECONOMIC LOSS HOWSOEVER ARISING (AND WHETHER DIRECT OR INDIRECT) FROM YOU BEING A MEMBER, A SUPPLIER OR USING MEMBERSHIP AND/OR TRUSTED SUPPLIER SERVICES, EVEN IF WEHAVE BEEN ADVISED OF THE POSSIBILITY OF THE SAME. IN PARTICULAR, WE SHALL NOT BE LIABLE TO YOU OR YOUR OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS OR REPRESENTATIVES FOR ANY ECONOMIC DAMAGE OR LOSS (WHETHER DIRECT OR INDIRECT INCLUDING LOSS OF REVENUE OR ANTICIPATED PROFITS; LOSS OF ANY FUTURE BUSINESS OR OPPORTUNITIES; DAMAGE TO GOODWILL OR REPUTATION AND ANY OTHER COSTS OR EXPENSES) SUFFERED OR ALLEGED TO HAVE BEEN SUFFERED AS A RESULT OF

      (A) THE PUBLICATION OF ANY REVIEWS OR OTHER POSTING PUBLISHED ON THE SITE OR ELSEWHERE BY A MEMBER OR SITE USER;
      (B) ANY OTHER EVENT OR CIRCUMSTANCE BEYOND OUR REASONABLE CONTROL, INCLUDING ANY DELAY, ERROR OR OMMISSION COMMITTED BY ROYAL MAIL OR ANY OTHER REPUATBLE DELIVERY COMPANY WHO WE ENGAGE TO DELIVER DIRECTORIES ON OUR BEHALF.

    3. EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS, WE DISCLAIM ALL REPRESENTATIONS, WARRANTIES, TERMS OR CONDITIONS IN RELATION TO OUR MEMBERSHIP DATABASE, SITE, DIRECTORY OR ANY MEMBERSHIP SERVICES WEPROVIDE (WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR OTHERWISE), INCLUDING REPRESENTATIONS, WARRANTIES, CONDITIONS OR TERMS RELATING TO AVAILABILITY, QUALITY OR FITNESS FOR PARTICULAR PURPOSE OR RESULTS ACHIEVED FROM YOUR BEING A MEMBER OR USING MEMBERSHIP SERVICES.
    4. THESE TERMS OF USE WILL NOT EXCLUDE OR LIMIT LIABILITY FOR FRAUD OR MANDATORY RIGHTS YOU HAVE UNDER APPLICABLE LAW TO THE EXTENT THEY CANNOT BE EXCLUDED OR LIMITED BY CONTRACT.
    5. THE CTA HAS NO CONTROL OVER THE SCORE OR REVIEWS PROVIDED BY MEMBERS AND ACCEPTS NO LIABILITY IN CONTRACT, TORT OR OTHERWISE FOR ANY DAMAGE CAUSED, INCLUDING ANY DAMAGE TO REPUTATION, ARISING AS A RESULT OF YOUR USE OF THE DIRECTORY AND/OR ANY MEMBER FEEDBACK.
  6. What happens if you don’t comply with these terms?
    1. We will treat any non-compliance as a serious issue, and if we think you have breached any of these terms, we may take any action that we consider appropriate. This may include:
    2. (i) the temporary or permanent suspension of your access to the Directory;
      (ii) taking legal action against you, possibly to recover any financial loss that we have suffered as a result of your actions; or
      (iii) publishing a statement on any of our Directories detailing your actions.

      We will not compensate you for any loss you may suffer arising from:

      (iv) using (or not using) a CTA Trusted Supplier or any other supplier reviewed on the Directory;
      (v) the reviews or other content provided by members including where the information provided is inaccurate;
      (vi) any mistake we make with the content of our email alerts; and/or
      (vii) the additional circumstances set out in our general terms

    3. The CTA may vary any of its terms at any time, although we will only make changes if we think these are either necessary or reasonable. Please make sure you check our Directory regularly for any announcements. The changed terms will normally take effect immediately upon publication, although where we think the changes are likely to be important to you, we shall always tell you in advance so you can decide whether to continue using our Directory.
  7. Dispute resolution
    1. If the CTA is made aware of a dispute between a supplier and a member (or a user), the matter will be referred to the CTA’s Board of Directors.
    2. The CTA’s Board of Directors will decide the outcome of the dispute or appoint an adjudicator and the decision will be final and binding.
  8. Additional terms (applicable if you are a CTA Trusted Supplier)
    1. You will not hold yourself out as being a CTA Trusted Supplier unless permitted to do so by the CTA.
    2. When submitting and or editing your CTA Trusted Supplier profile page, you agree that the information you provide is complete and accurate and is not misleading or untrue in any way. It is your responsibility to update your page with any changes to your contact details and/or other personal or business information.
    3. You understand and agree that you may be rated by your members using our recommendations system and that members may leave written reviews of your services on your profile page, after completion of all or part of the work you carry out.
    4. You must only portray yourself as being affiliated or connected to any accrediting body if your membership or qualifications are in date and still active.
    5. You will not pretend to be someone that you are not (e.g. a member). You must not pretend that you are unconnected to a member, when in fact you are. If you have a personal connection to a member, you should disclose your connection.
  9. Fees
    1. Fees will be charged where applicable at the published rates on the CTA Website.
    2. The CTA reserves the right to alter the fees it charges in accordance with its prevailing pricing policy.
  10. Our Agreement
    1. This agreement shall be governed by and construed in accordance with the laws of England and Wales.
    2. All users of the Directory agree to submit to the exclusive jurisdiction of the courts of England and Wales.
